THE ACTUAL SITUATION OF HUMAN RESOURCES DEVELOPMENT AT POST TELECOMMUNICATION JOINT STOCK INSURANCE CORPORATION IN THE PERIOD OF 2010-2012

2.1 Overview on the Post and Telecommunication Joint Stock Insurance Corporation

Formation and Development Process

Post and Telecommunication Joint Stock Insurance Corporation (abriviated name: PTI)formerly known as Insurance Post Office Company, established on 01/8/1998 according toCertificate of eligibility for insurance operation and business by the Ministry of Finance and License No. 3633/GP-UB dated 01/8 / 1998 byHanoi City People’s Committee. PTI is PTI is a joint-stock company governed by the State’s capital (rate 62.2%) , of which Vietnam Posts and Telecommunications Group (now,Vietnam Post ) is a governing shareholder, accounting 33% of charter capital. PTI operates under the Law on Insurance Business, trading in non-life insurance field. PTI’s Headquarters is at 8th floor, 4A Lang Ha, Ba Dinh District, Hanoi. According to the current organizational structure of Vietnam Post, PTI is an associated unit.

Business lines

According to current License of Establishment and Operation granted by Ministry of Finance, PTI trades in the following main lines:

(1) Trading in original insurance

(2) Trading in reinsurance: Receive and transfer reinsurance related to non-life insurance operations.

(3) Carry out investment activities in accordance with legal regulations.

(4) Verify losses.

(5) Agent of loss verification considers, settles compensation, asks the third person to compensate.

(6) Other activities according to legal regulations.

Supply products

Now, PTI is supplying over 100 products in market including products with strength such as insurance of electronic, satellite, construction - installation equipment, fire, people, motor vehicle etc. PTI is holding the position No. 1 in insurance market for electronic equipment insurance product. Main brand: Phuc van dam, Phuc Luu hanh, Phuc An sinh, Phuc Hoc Duong. PTI’s most key product in short time and long-term period is insurance for motor vehicles, electronic equipment , students. All PTI products comply with common standard of market and meet customers’ requirements.

Sales channel system

PTI solds its products throught 03 channels: direct, agent and broker.

Direct sales: Via the direct direct exploitation of employees in the system of 29 member companies directly under the Corporation.

Agent system: Total quantity of agents until 32/12/2012: 1,087 agents and 12,612 agent members, including 1,038 individual brokers; 49 organization agents (of which agents via VNPost consist of 11,351 member agents, 48 organization agents and 260 remaining member agents). With 18,000 sales points on the VietnamPost system, PTI becomes an insurance enterprise with the biggest retail network on Vietnam insurance market.

Brokerage enterprise/associated bank system: Aon, Grass Savoya, Viet Quoc etc.; LienvietPostbank, Maritime bank etc.

PTI’s financial resources

Until 31/12/2012 charter capital is 504 billion dongs. Equity is 665 billion dongs. Total assets is 1,612 billion dongs of which operational provident fund is 765 billion dongs (comprising 47.5% of total assets).

Development Process

After 15 years of participating in Vietnam insurance market, PTI continuously ranks the 5th position in market share in Vietnam non-life insurance market, quite high, stable revenue growth rate and effective business. Annual average revenue grows 28% on average (from 1.5 to 2 times more than the common growth rate of non-life insurance market). With highly increasing business result during recent 3-year period (45% / year), PTI has reduced distance with the fourth unit is reaching the goal of ranking the third in market share in insurance market within the next 3 years.

2.1.2 PTI’s organizational model

Organizational Model

Now, PTI has 13 boards at its Headquarters; 29 member companies trade in provinces, cities, key economic centers, with insurance agent network at all provinces, cities in the whole country. The office of Corporation executes the functions of macro management, management, and operational assistance tosubordinate units in business, receipt and transfer of reinsurance, resolving compensation matters on the units’decentralization. PTI’s member companies perform business function.

Some characteristics in PTI’s organization

- The highest decision making agency of the Corporation is General Shareholders Meeting held one time a year. General Shareholders Meeting elects the Board of Management to manage the corporation and elects Supervisory Board to supervise all business activities, administer, manage the corporation.

- The Board of Management is the highest governance body of the corporation, its term reelected 04 year who has the right to act on behalf of the corporation to make decisions on all matters related to purposes and benefits of the corporation in accordance with law and the corporation’s charter; Supervisory Board operates independently, controlling all business, administration, management activities of the corporation; General Director who is appointed by Board of Management, is legal representative, the highest operation manager of the corporation.

Accounting organization and financial management model: PTI is a legal representative with its own stamp, assets, account in accordance with legal regulations, perform centralized accounting for capital, funds, revenues, costs and profits in the corporation. PTI has its subordinate units (member companies) with dependent accounting, alloted assets, capital by the Corporation to perform business operations.

The year 2010 marked PTI’s basic turning point for machinery organization:

+ The organizational model is converted from “Company” to “Corporation”, whose subordinate units from“Branch” become “member company”. This conversion aims at confirming the enterprise’s growth, which merges in general market trends, meets the Corporation’s development needs best. The above conversion also facilitates to improve the leader team of corporations and subsidiaries.

+ Establish 03 subordinate member companies more, including PTI inSouthern Red River Area, Ben Thanh PTI, Hanoi PTI, bringing the total number of insurance companies to 25 companies.

+ Establish Lane Xang Insurance Company in Lao People’s Democratic on basis of contributing capital with Lao Development Bank, confirming international integration trend initially bringing the PTI brand beyond Vietnam’s border to come to the friends in the region.

2.1.3 PTI’s business operation results in the period 2010 - 2012

Result of revenue, market share

Original insurance (BHG) is PTI’s key operation. From its establishment until now, PTI’s original insurance revenue growing on average 30%/year - 1.5 times higher than insurance market growth. Only in the 2010-2012period, original insurance revenue has growed on average 45% / year, 2.5 times higher than the growth rate of the insurance market. In 2012, the original insurance revenue reached 1639.5 billion, 2.4 times higher than that in 2009, 5.7 times higher than 2007

Pursuant to the Charter of organization and operation of the Health and life newspaper together with the Decision no. 3582/QĐ-BYT of Ministry of Health on September 30, 2005;

Pursuant to decision No. 2373/QĐ-BYT of Minister of Health related with reappointingChief Editor of Health and Life newspaper on July 02nd, 2010;

Pursuant to the letter of invitation dated June 14th, 2013 of Berolina Stralau United Sport Organization, 1901 e.vFriedrishshainer District -Berlin-Germany.

Consider the proposal of the head of the political organization department.

Article 1: Appointing Mr. Nguyen Thanh Tung

Position: the correspondent of the Sport Culture Board- Health and life newspaper.

Scale of official: correspondent - code of scale: 17-144

To join and publish news on the Friendship Football Contest organized in Germany and news on Vietnamese football team in Berlin, Germany.

Time: from August 5th, 2013 to September 5th, 2013

Article 2. Mr. Nguyen Thanh Tung is responsible to carry out current regulations, policies of the State on immigration of Vietnamese citizens.

Article 3. Health and Life newspaper shall pays all the cost of the trip.

Article 4: The heads of the political organization department, human resources department, chief accountant, the head of Sport Culture Board and Mr. Nguyen Thanh Tung are responsible for implementing this decision.

The decision takes effect since the date of signing and promulgation.
